Equity Capital Markets

Catering to the needs of issuers or banks our team advises on the full spectrum of equity investments including initial public offerings, secondary offerings and private placements.

Debt Capital Markets

Our capital markets team has extensive experience to prepare the best solutions to multifaceted financing transactions. We are experts in handling every kind of debt financing through capital markets. Whether it’s a “plain vanilla” corporate bond, or either hybrid or convertible instruments, either in the form of public offerings or private placements, our experienced team has a deep understanding of financing markets.

We are experienced with both equity and debt issues. In both instances this includes assistance with any preparatory corporate measures (amendment of articles, capital increases, and other approvals) the drafting and negotiation of underwriting agreements, the preparation of capital markets prospectuses, and coordination of their approval with the competent regulator.

Alternative Investments

As part of our firmwide inter-disciplinary approach our capital markets team is also proficient in alternative investment structures which permits us, for instance, to assist our extensive (private equity and hedge) fund clientele in setting up alternative investment funds (AIF) or to make use of certain privileges for small equity or debt issues for start-up or growth companies.

Relevant areas include stock exchange law (e.g., notification of significant shareholdings, ad-hoc disclosure, reporting issues, and corporate governance) as well as takeover law (e.g., advice to investors on the structuring of an acquisition including takeover bids in a listed company or advice to a target and its corporate bodies in takeover scenarios).
